These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Eejuhs Logistics, Inc., a subsidiary owned and controlled by Eejuhs Holdings, Inc. ("Company," "we," "us," or "our"), governing your access to and use of the myContract Scout platform, website, and related services (collectively, the "Services").
BY ACCESSING OR USING OUR SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST NOT ACCESS OR USE OUR SERVICES.
You must be at least 18 years old and have the legal capacity to enter into a binding contract to use our Services. By using our Services, you represent and warrant that you meet these eligibility requirements. If you are using our Services on behalf of a business entity, you represent that you have the authority to bind that entity to these Terms.
myContract Scout provides software-as-a-service (SaaS) tools designed to assist government contractors in identifying, analyzing, and managing Defense Logistics Agency (DLA) contracting opportunities. Our Services include, but are not limited to:
To access certain features, you must create an account by providing accurate, current, and complete information. You agree to update your account information promptly to maintain its accuracy.
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us of any unauthorized access or security breach. We are not liable for any loss or damage arising from your failure to protect your account.
We reserve the right to suspend or terminate your account at any time, with or without cause, and with or without notice, including for violation of these Terms.
Our Services are offered through various subscription plans with different features and pricing tiers. Current pricing and plan details are available on our website and are subject to change.
We may offer a free trial period. At the end of the trial, your subscription will automatically convert to a paid subscription unless you cancel before the trial ends. We reserve the right to modify or discontinue trial offers at any time.
By subscribing to a paid plan, you authorize us to charge your designated payment method on a recurring basis. All fees are non-refundable except as expressly stated herein or required by law. You are responsible for all applicable taxes.
You may cancel your subscription at any time through your account settings. Cancellation will take effect at the end of the current billing period. No refunds or credits will be provided for partial subscription periods.
We reserve the right to modify our pricing at any time. We will provide at least 30 days' notice of any price increases. Your continued use after a price change constitutes acceptance of the new pricing.

The Services and all content, features, and functionality (including but not limited to software, text, graphics, logos, icons, images, audio, video, and data compilations) are owned by Eejuhs Logistics, Inc., Eejuhs Holdings, Inc., or their licensors and are protected by United States and international intellectual property laws.
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes in accordance with these Terms. This license does not include any right to resell or commercially exploit the Services.
You retain ownership of any content you submit to the Services. By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display such content solely for the purpose of providing the Services.
If you provide feedback, suggestions, or ideas about the Services, you grant us the right to use such feedback without restriction or compensation to you.
myContract Scout is not affiliated with, endorsed by, or sponsored by the U.S. government, the Defense Logistics Agency (DLA), or any other government agency. Information provided through our Services is for informational purposes only and should not be considered official government guidance.
WE DO NOT GUARANTEE THAT YOU WILL WIN ANY GOVERNMENT CONTRACTS OR ACHIEVE ANY PARTICULAR RESULTS BY USING OUR SERVICES. Success in government contracting depends on many factors outside our control, including your qualifications, pricing, and the competitive landscape.
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
Our Services may incorporate data from third-party sources, including SAM.gov. We do not guarantee the accuracy, completeness, or timeliness of such data. You are responsible for independently verifying any information before relying on it for bidding or contracting decisions.
Our Services may include AI-generated content, analysis, and recommendations. Such content is provided for informational purposes only and should not be relied upon as the sole basis for business decisions. You are responsible for reviewing and verifying all AI-generated content.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL EEJUHS LOGISTICS, INC., EEJUHS HOLDINGS, INC., OR THEIR OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, REGARDLESS OF THE THEORY OF LIABILITY.
OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
You agree to indemnify, defend, and hold harmless Eejuhs Logistics, Inc., Eejuhs Holdings, Inc., and their officers, directors, employees, agents, affiliates, and licensors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

You agree not to abuse, overload, or place undue burden on our Services through excessive requests, automated scripts, or any activity that could degrade performance for other users. We reserve the right to throttle, suspend, or terminate accounts that violate fair use policies or attempt to circumvent rate limits.
While we strive for 99.9% uptime, we do not guarantee uninterrupted access to the Services. Scheduled maintenance, emergency updates, and circumstances beyond our control may result in temporary service disruptions. We will provide advance notice when possible.
ALL DATA CREATED, STORED, OR PROCESSED THROUGH THE SERVICES IS AND SHALL REMAIN THE SOLE PROPERTY OF EEJUHS, INC. AND ITS SUBSIDIARIES. This includes, but is not limited to, RFQ data, bid calculations, vendor information, contracts, proposals, and all other content generated or uploaded to the platform.
While we maintain regular backups for operational continuity, YOU ARE STRONGLY ENCOURAGED AND ADVISED TO REGULARLY EXPORT AND MAINTAIN YOUR OWN BACKUP COPIES OF YOUR DATA. We provide data export functionality through your account settings, and you should utilize this feature frequently to protect your business interests.
UPON TERMINATION OR CANCELLATION OF YOUR ACCOUNT, FOR ANY REASON, ALL DATA ASSOCIATED WITH YOUR ACCOUNT SHALL REMAIN THE PROPERTY OF EEJUHS, INC. We may, at our sole discretion, retain such data for business, legal, or compliance purposes. You acknowledge that you have no right to access, retrieve, or demand deletion of data after your account is terminated, except as required by applicable law.
We do not guarantee the ability to retrieve or export data after account cancellation or termination. You must export any data you wish to retain BEFORE terminating your account. We are not liable for any loss of data, business opportunities, or damages resulting from your failure to maintain backups.
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware and the State of Nevada, United States of America, without regard to conflict of law provisions. You consent to the exclusive jurisdiction and venue of the state and federal courts located in Wilmington, Delaware, or Las Vegas, Nevada, as selected by Eejuhs, Inc. at its sole discretion.
Any dispute, controversy, or claim arising out of or relating to these Terms or the Services shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. The arbitration shall take place in Wilmington, Delaware, or Las Vegas, Nevada, as determined by Eejuhs, Inc. The arbitrator's decision shall be final and binding, and judgment may be entered in any court of competent jurisdiction.
YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU EXPRESSLY WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION AGAINST EEJUHS, INC., ITS SUBSIDIARIES, OR ANY RELATED PARTIES.
You irrevocably consent to the exclusive jurisdiction and venue of the courts located in the State of Delaware or the State of Nevada, USA, for any legal action or proceeding arising from these Terms. You waive any objection to such venue or jurisdiction on the grounds of inconvenient forum or otherwise.
Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights or prevent imminent harm.
You agree to maintain the confidentiality of any proprietary information, trade secrets, or confidential business information disclosed to you through the Services. This obligation survives termination of your account or these Terms.
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of the Services after such changes constitutes acceptance of the modified Terms.
These Terms, together with our Privacy Policy and any other agreements incorporated by reference, constitute the entire agreement between you and us regarding the Services.
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.
We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, acts of government, pandemic, or internet outages.
